Job Full Description
We are seeking an experienced Paralegal/Legal Secretary to provide comprehensive legal support under attorney supervision. This role offers exposure to a wide variety of legal matters, including corporate governance, entity management, compliance, contracts, NDAs, employment issues, mergers and acquisitions, litigation, and management of real estate and intellectual property assets.
Key Responsibilities:
- Manage and process legal billing, collaborating with Finance on approvals, accruals, and monthly reporting.
- Ensure timely completion of all regulatory filings, including coordination with foreign subsidiaries and maintenance of related records.
- Support intellectual property management, including tracking patent and trademark updates in coordination with external counsel.
- Respond to requests for non-disclosure agreements and maintain organized documentation.
- Assist with real estate matters, including lease renewals, amendments, terminations, and record management.
- Maintain and update the legal document drive, ensuring accuracy, organization, and proper version control.
- Prepare documents for notarization, e-notarization, and apostille/legalization, ensuring correct execution procedures.
- Provide administrative and coordination support to attorneys and team members, including remote staff.
- Organize and maintain corporate entity records for domestic and international subsidiaries.
- Maintain systems for corporate document safekeeping and indexing, updating as appropriate.
- Prepare and maintain Board and committee minute books, resolutions, and other corporate secretary services.
- Order certificates of good standing and certified charters as needed.
- Develop and maintain a material contract database, managing collection of fully executed agreements.
- Assist with M&A transactions, including legal diligence, closing logistics, and signature page management.
Qualifications & Competencies:
- Bachelor’s degree in pre-law, political science, administration, or a related field.
- Paralegal certification preferred.
- Minimum of 7 years of experience in a corporate law department or law firm, ideally within a manufacturing organization.
- Advanced proficiency in Microsoft Excel and other Office applications.
- Strong understanding of legal billing processes, document management, and record retention.
- Demonstrated ability to manage multiple priorities in a fast-paced, collaborative environment with exceptional attention to detail.
- Excellent written and verbal communication skills, sound judgment, and a commitment to quality, confidentiality, and integrity.
